Real Estate Acquisitions and Dispositions
The firm routinely represents sellers and purchasers of all asset classes in real estate acquisitions and dispositions, including the acquisition and disposition of multi-family projects, retail shopping centers, industrial buildings, office buildings and mixed-used projects. We work closely with our clients in structuring and documenting the purchase and sale transaction so that it is tailored to our client’s unique and project specific needs. We draft and negotiate for our client’s letters of intent, access agreements, purchase and sale agreements, and ground or operating leases. Additionally, we prepare, negotiate and review all of the documents relating to or necessary to effectuate the purchase and sale transaction and any transactions contemplated under the purchase and sale agreement, including conveyance documents, title affidavits and certificates, rights of first refusal, repurchase options, and easement, covenant, and restriction agreements.
We also represent clients in connection with unique purchase transactions, including sale-leaseback transactions, membership interest or entity purchase transactions, and loan assumption and debt purchase agreements. We have an experienced team that conducts due diligence review in connection with real estate acquisitions and resolves issues relating thereto, including the review of title insurance commitments and related exception documents, surveys, and other due diligence materials. Our team works closing with clients and other third parties, including title companies, surveyors, lenders, and investors in order to facilitate an efficient and smooth closing process.
