We advise and assist owners, partners, members, shareholders, for profit entities and nonprofit entities with the formation of partnerships, joint ventures, tenants-in-common, holding companies and other entities that purchase and sale, develop, manage, operate, and lease real estate.
Our services include the preparation and negotiation of articles of organization, certificates of formation, operating agreements, limited liability company agreements, partnership agreements and joint venture agreements. Our team has significant experience with the structuring and negotiation of joint venture agreements, including the drafting and negotiation of provisions relating to governance, management, control, profit sharing, and tax liability issues in a manner that protects the interests of the client.
